Subscription Agreement Total Parts Plus, Inc. ("Provider") and you ("Subscriber") agree as follows: RESPONSIBILITY Provider and/or its third-party suppliers shall be the sole owner(s) of the data and software programs from the Web Site, including any adaptations or copies thereof, and including associated intellectual property rights provided to the Subscriber pursuant to this Agreement. Copies are provided and may be made only to allow you to exercise your rights under this Agreement. Provider and/or its third-party providers claim U.S. and foreign copyright ownership with respect to the data contained in the Web Site as compilations and expressions of distinctive and creative formats. It is Provider's practice to place copyright notices and/or other proprietary legends in report forms and data provided to Subscriber. Subscriber shall provide for the reproduction of such notices and legends in the form and manner in which they appear. In the event any printout page or other tangible form of retrieved data does not contain the full text of such notices and legends, you agree to stamp or otherwise affix on each such copy of the data, including any subsequent adaptation thereof, a copyright notice as follows: "Copyright, Total Parts Plus, 2005, All Rights Reserved." Subscriber must register for access to the Web Site, select type of subscription desired, and provide payment of subscription fee. Subscriber is responsible for the confidentiality of his/her username and password. If Subscriber believes the username and password is being used by an unauthorized user, Subscriber must notify Provider immediately and must change his/her password immediately. TERM AND TERMINATION The term of this Agreement is defined by the type of subscription selected by Subscriber. In the event that service is interrupted due to Provider's fault for more than 24 hours, Provider shall extend the term of this agreement for that same time period without charge. LIMITATIONS Provider shall employ due care and attention to obtaining and maintaining the data and services in the Web Site. However, Subscriber acknowledges that any collection and compilation of data includes the possibility of some human and machine errors, omissions, delays, interruptions, and losses, including inadvertent loss of data or damage to media, which may give rise to loss or damage. Provider shall not be liable or be deemed to be in default for any delay or failure in performance or interruption resulting directly or indirectly from any cause or circumstance beyond the reasonable control of Provider, including, but not limited to, equipment failure, telecommunications failure, labor dispute, or failure of any third party to perform any agreement with Provider that adversely affects Provider's ability to perform its obligations hereunder. ACCORDINGLY SUBSCRIBER AGREES THAT THE DATA IS PROVIDED ON AN "AS IS; AS AVAILABLE" BASIS; PROVIDER MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO ITS ACCURACY, COMPLETENESS, OR CURRENTNESS; AND PROVIDER SPECIFICALLY DISCLAIMS ANY OTHER WARRANTY, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. PROVIDER SHALL NOT BE LIABLE ON ACCOUNT OF ANY SUCH ERRORS, OMISSIONS, DELAYS, OR LOSSES UNLESS CAUSED BY WILLFUL MISCONDUCT. SUBSCRIBER AGREES THAT IN NO EVENT WILL PROVIDER BE LIABLE FOR THE RESULTS OF SUBSCRIBER'S USE OF THE DATA, SUBSCRIBER'S INABILITY OR FAILURE TO CONDUCT SUBSCRIBER'S BUSINESS, OR FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES. SUBSCRIBER FURTHER AGREES THAT IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIMS, LOSSES, OR DAMAGES ARISING UNDER THIS AGREEMENT AND SERVICES PERFORMED HEREUNDER, WHETHER IN CONTRACT OR TORT, INCLUDING NEGLIGENCE, EXCEED THE TOTAL AMOUNT PAID BY SUBSCRIBER TO PROVIDER DURING THE PRECEDING TWELVE (12) MONTH PERIOD, EVEN IF PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH POTENTIAL CLAIM, LOSS, OR DAMAGE. THE FOREGOING LIMITATION OF LIABILITY AND EXCLUSION OF CERTAIN DAMAGES SHALL APPLY REGARDLESS OF THE SUCCESS OR EFFECTIVENESS OF OTHER REMEDIES. GENERAL TERMS AND CONDITIONS This Agreement represents the complete and exclusive statement of the understanding between the parties and supersedes all prior proposals and understandings, oral or written, relating to the subject matter of subscription. In the event Subscriber pays by credit card, issues a purchase order or other instrument concerning the Web Site, it is specifically agreed and understood that such payment method is for Subscriber's internal purposes only and any and all terms contained therein, whether printed or written, shall be subordinate to the terms and conditions contained herein. Subscriber agrees that subscription fees are non-refundable. This Agreement shall be governed by the laws of the State of Florida and the rules of the American Arbitration Association, and all issues shall be resolved by binding arbitration taking place in Fort Walton Beach, Florida.
